Terms of service

PocketPO is a business-to-business ordering portal operated by PCR Solutions Inc. (Montréal, Québec), "PCR". By subscribing or using the portal, you accept these terms.
1. Definitions
"Distributor": the company subscribed to PocketPO. "Buyer": a customer of the distributor invited by it to order on the portal. "User": any person who signs in to the portal (buyer, sales rep or distributor administrator). "Service": the portal, its administration site and the emails it sends.
2. The service
PocketPO lets a distributor's buyers browse its catalogue and send it orders, which are recorded as estimates in the distributor's management software (SOS Inventory). The distributor must hold a valid SOS Inventory account and authorize PocketPO to connect to it. The service processes no payments; invoicing of orders remains between the distributor and its buyers.
3. Buyers and users
The distributor decides who is invited, may remove access at any time and is responsible for how its users use the service. Each user signs in through a link sent to their email address; they must keep that address under their control and not share their sign-in links. An order sent through the portal is an order request from the buyer, sent to the distributor as an Estimate that it accepts or rejects, at the prices and conditions shown when it was sent; PCR is not a party to that sale.
4. Subscription and price
The subscription costs CA$349 per month, plus taxes, per distributor, with no limit on users or orders. A distributor who pays the year in advance pays CA$290 per month, that is CA$3,480 per year. The price does not change during a period already paid; any increase is announced 60 days ahead. A 30-day free trial comes before the subscription; nothing is billed until the distributor chooses a plan.
5. Termination
The distributor may cancel at any time, by email, with no fee and no reason required. Monthly subscription: access ends at the end of the month already paid and nothing more is charged. Annual subscription: access ends at the end of the current month and the remaining full months are refunded within 30 days. PCR may terminate with 60 days' notice, or immediately for non-payment or abusive use; if PCR terminates without fault of the distributor, the remaining months are refunded the same way. After cancellation, the distributor may request an export of its orders for 30 days; after that, PCR deletes its data at its request.
6. Data
The distributor's data (catalogue, customers, orders) belongs to it. PCR processes it only to provide the service, under its privacy policy, which forms part of these terms. The distributor warrants that it has the right to share its customers' information with PCR and to authorize the connection to its SOS Inventory account.
7. Acceptable use
It is prohibited to use the service for unlawful activities, to attempt to access another distributor's data, to circumvent security measures, to overload the service deliberately or to resell access. The distributor remains responsible for the accuracy of its catalogue and prices.
8. Availability and support
PCR does what is needed to keep the service available at all times and performs updates outside business hours when possible. The service depends on third-party providers (hosting, email, SOS Inventory); PCR is not responsible for their outages. Support is by email, on business days, at info@pocketpo.com.
9. Intellectual property
The PocketPO software, its interface and its brand belong to PCR. The distributor receives a non-exclusive, non-transferable right of use for the term of the subscription. It keeps all rights to its own content (logo, catalogue, images).
10. Warranties and liability
The service is provided as is. PCR does not guarantee that it will be error-free or that every order will reach SOS Inventory without delay; the distributor checks its orders in its own system. If PCR causes the distributor a loss, PCR's liability is limited to the fees the distributor paid it in the last 12 months, and does not cover indirect losses (lost profits, lost customers). This limit does not apply to gross or intentional fault by PCR.
11. Changes
PCR may change these terms with 30 days' notice by email to the distributor. If a change is unfavourable to it, the distributor may terminate before it takes effect and obtain a refund of the unused portion of an annual subscription.
12. Governing law
These terms are governed by the laws of Québec and the laws of Canada applicable therein. Any dispute falls under the courts of the district of Montréal. In case of discrepancy between the French and English versions, the French version prevails.
